AS “Conexus Baltic Grid” is the operator of Latvia’s natural gas transmission and storage system, ensuring national and regional energy security, continuous system operation, and the efficient functioning of the natural gas market. AS “Conexus Baltic Grid” manages natural gas transmission infrastructure throughout Latvia, as well as the Inčukalns underground gas storage facility, which is a strategically important energy supply asset in the Baltic region.

The company has a diverse shareholder structure with the participation of state and international investors. The state-owned Latvian company AS Augstsprieguma tīkls is the largest shareholder of AS “Conexus Baltic Grid”.

AS Augstsprieguma tīkls announces an open competition for three Supervisory Board member positions at AS “Conexus Baltic Grid”:

  • Supervisory Board Member – with expertise in finance, risk, and internal control systems (Position profile 1).
  • Supervisory Board Member – with expertise in strategy, team leadership, stakeholder management, and change management (Position profile 2).
  • Supervisory Board Member – with expertise in the energy sector (Position profile 3), including that at least two of the Supervisory Board members must meet the requirements for an independent board member.

To perform the duties of a Supervisory Board member of AS “Conexus Baltic Grid”, the following competencies are required: strategic vision, planning and organization, development and results orientation, decision-making and accountability, and change management. Strategic vision and development orientation are defined as essential leadership competencies. Mandatory minimum requirements for candidates for the positions of Supervisory Board members of AS “Conexus Baltic Grid”:

  • Impeccable reputation.
  • Higher academic education or second-level professional higher education relevant to the field of competence (finance/economics, law, management science, business administration, energy, engineering, or another equivalent field).
  • Work experience within the last 10 years providing the necessary skill set to professionally perform the duties of a Supervisory Board member in the respective position at the Company, and meeting one of the following criteria:
    • At least three years of experience as a member of the management board of a medium-sized or large capital company; or
    • At least two years of experience as a member of the supervisory board of a medium-sized or large capital company; or
    • At least three years of experience in a senior management position (head of an institution or deputy head, or head of a large structural unit).
  • Proficiency in the state language to the extent necessary for the professional performance of Supervisory Board member duties; English language proficiency in accordance with the Common European Framework of Reference for Languages at not lower than B2 level. Foreign candidates must have professional communication skills in English (at least B2 level).
  • Compliance with the requirements of Section 31, Paragraph four of the Law on Governance of Capital Shares and Capital Companies of a Public Person, and for independent Supervisory Board members — compliance with the requirements of Section 31, Paragraph six of the same law.
  • Compliance with the independence and unbundling requirements of the Energy Law. The position of Supervisory Board member is a position of a public official and is subject to the requirements of the Law “On Prevention of Conflict of Interest in the Activities of Public Officials.

The following professional experience and knowledge requirements are set for applicants to the positions of Supervisory Board members of AS “Conexus Baltic Grid” (at least 3 years within the last 10 years):

For the Supervisory Board Member – with expertise in finance, risk, and internal control systems (Position profile 1)

  • At least five years of work experience in the field of finance and/or auditing, preferably with an understanding of issues related to the energy sector.
  • Experience in risk management, development or supervision of internal control systems, as well as in company and team management, and understanding of sustainability matters will be considered an advantage.
  • Knowledge of international and local accounting standards; an ACCA, CFA, or CPA certificate will be considered an advantage.
  • Ability to navigate regional and European energy initiatives, including the development of infrastructure corridors and financing mechanisms.

For the Supervisory Board Member – with expertise in strategy, team leadership, stakeholder management, and change management (Position profile 2):

  • At least five years of experience in managing development and change processes, including implementation of changes in organizational structure, processes and human resources, strengthening governance and control, or improving work organization and efficiency.
  • Practical experience in developing and implementing the strategy of an organization or capital company, ensuring corporate governance, stakeholder management, as well as company and team management.
  • Experience in innovation and digital transformation, including cooperation with external stakeholders, will be considered an advantage.
  • Ability to operate under conditions of strategic uncertainty, including experience in evaluating long-term transformation scenarios and making balanced, well-reasoned decisions on the timing, scope, and sequence of investments in situations where complete information is not available.
  • Ability to navigate regional and European energy initiatives, including the development of infrastructure corridors and financing mechanisms.

For the Supervisory Board Member – with expertise in the energy sector (Position profile 3):

  • At least five years of work experience in the energy sector.
  • Understanding of development trends in the energy sector, including natural gas transmission and storage.
  • Understanding and experience in the protection of critical infrastructure will be considered an advantage.
  • Ability to operate under conditions of strategic uncertainty, including experience in evaluating long-term transformation scenarios and making balanced, well-reasoned decisions on the timing, scope, and sequence of investments in situations where complete information is not available.
  • Ability to navigate regional and European energy initiatives, including the development of infrastructure corridors and financing mechanisms.
